Terms of Service

一、認知與接受條款

  1. 宥杏股份有限公司（以下簡稱「宥杏」）係依據本服務條款提供宥杏服務 (以下簡稱「本服務」)。當使用者完成宥杏之註冊手續、或開始使用本服務時，即表示已閱讀、瞭解並同意接受本服務條款之所有內容，並完全接受本服務現有與未來衍生的服務項目及內容。宥杏公司有權於任何時間修改或變更本服務條款之內容，修改後的服務條款內容將公佈網站上，宥杏將不會個別通知會員，建議會員隨時注意該等修改或變更。會員於任何修改或變更後繼續使用本服務時，視為會員已閱讀、瞭解並同意接受該等修改或變更。若不同意上述的服務條款修訂或更新方式，或不接受本服務條款的其他任一約定，會員應立即停止使用本服務。

  2. 若會員為未滿十八歲之未成年人，應於會員的家長（或監護人）閱讀、瞭解並同意本約定書之所有內容及其後修改變更後，方得註冊為會員、使用或繼續使用本服務。當會員使用或繼續使用宥杏時，即推定會員的家長（或監護人）已閱讀、瞭解並同意接受本約定書之所有內容及其後修改變更。

  3. 會員及宥杏雙方同意使用本服務之所有內容包括意思表示等，以電子文件作為表示方式。

​二、會員註冊義務

為了能使用本服務，會員同意以下事項：

  1. 依本服務註冊表之提示提供會員本人正確、最新的資料，且不得以第三人之名義註冊為會員。每位會員僅能註冊登錄一個帳號，不可重覆註冊登錄。

  2. 即時維持並更新會員個人資料，確保其正確性，以獲取最佳之服務。

  3. 若會員提供任何錯誤或不實的資料、或未按指示提供資料、或欠缺必要之資料、或有重覆註冊帳號等情事時，宥杏有權不經事先通知，逕行暫停或終止會員的帳號，並拒絕會員使用本服務之全部或一部。

三、宥杏隱私權政策

於使用宥杏各項服務及交易過程中將會對個人資料進行蒐集、處理、利用，相關事項請參閱宥杏「隱私條款」。

​四、會員帳號、密碼及安全

  1. 完成本服務的登記程序之後，會員將取得一個特定之密碼及會員帳號，維持密碼及帳號之機密安全，是會員的責任。任何依照規定方法輸入會員帳號及密碼與登入資料一致時，無論是否由本人親自輸入，均將推定為會員本人所使用，利用該密碼及帳號所進行的一切行動，會員本人應負完全責任。

  2. 會員同意以下事項：

  3. 會員的密碼或帳號遭到盜用或有其他任何安全問題發生時，會員將立即通知宥杏。

  4. 每次連線完畢，均結束會員的帳號使用。

  5. 會員的帳號、密碼及會員權益均僅供會員個人使用及享有，不得轉借、轉讓他人或與他人合用。

  6. 帳號及密碼遭盜用、不當使用或其他宥杏無法辯識是否為本人親自使用之情況時，對此所致之損害，除證明係因可歸責於宥杏之事由所致，宥杏將不負任何責任。

  7. 宥杏若知悉會員之帳號密碼確係遭他人冒用時，將立即暫停該帳號之使用(含該帳號所生交易之處理)。

  8. 會員需定期自行更改密碼。

  9. 會員應自行在其所使用之電腦設備或行動裝置上安裝防護軟體。

五、兒童及青少年之保護

為確保兒童及青少年使用網路的安全，並避免隱私權受到侵犯，家長（或監護人）應盡到下列義務： 未滿十二歲之兒童使用本服務時時，應全程在旁陪伴，十二歲以上未滿十八歲之青少年使用本服務前亦應斟酌是否給予同意。

六、使用者的守法義務及承諾

會員承諾絕不為任何非法目的或以任何非法方式使用本服務，並承諾遵守中華民國相關法規及一切使用網際網路之國際慣例。會員若係中華民國以外之使用者，並同意遵守所屬國家或地域之法令。會員同意並保證不得利用本服務從事侵害他人權益或違法之行為，包括但不限於：

  1. 公布或傳送任何誹謗、侮辱、具威脅性、攻擊性、不雅、猥褻、不實、違反公共秩序或善良風俗或其他不法之文字、圖片或任何形式的檔案

  2. 侵害或毀損宥杏或他人名譽、隱私權、營業秘密、商標權、著作權、專利權、其他智慧財產權及其他權利

  3. 違反依法律或契約所應負之保密義務

  4. 冒用他人名義使用本服務

  5. 傳輸或散佈電腦病毒

  6. 從事未經宥杏事前授權的商業行為

  7. 刊載、傳輸、發送垃圾郵件、連鎖信、違法或未經宥杏許可之多層次傳銷訊息及廣告等；或儲存任何侵害他人智慧財產權或違反法令之資料

  8. 對本服務其他用戶或第三人產生困擾、不悅或違反一般網路禮節致生反感之行為

  9. 其他不符本服務所提供的使用目的之行為或宥杏有正當理由認為不適當之行為

七、服務內容之變更與電子報及EDM發送

  1. 會員同意宥杏所提供本服務之範圍，宥杏均得視業務需要及實際情形，增減、變更或終止相關服務的項目或內容，且無需個別通知會員。

  2. 會員同意宥杏得依實際執行情形，增加、修改或終止相關活動，並選擇最適方式告知會員。

  3. 會員同意宥杏得不定期發送電子報或商品訊息(EDM)至會員所登錄的電子信箱帳號。當會員收到訊息後表示拒絕接受行銷時，宥杏將停止繼續發送行銷訊息。

八、服務之停止、中斷

宥杏將依一般合理之技術及方式，維持系統及服務之正常運作。但於以下各項情況時，宥杏有權可以停止、中斷提供本服務：

  1. 宥杏網站電子通信設備進行必要之保養及施工時

  2. 發生突發性之電子通信設備故障時

  3. 宥杏網站申請之電子通信服務被停止，無法提供服務時

  4. 由於天災等不可抗力之因素或其他不可歸責於宥杏致使宥杏網站無法提供服務時

九、交易行為

  1. 會員使用本服務進行交易時，應依據宥杏所提供之確認商品數量及價格機制進行。

  2. 會員同意使用本服務訂購產品時，於宥杏通知確認交易成立前，宥杏仍保有不接受訂單或取消出貨之權利。會員向宥杏發出訂購通知後，系統將自動發出接受通知，但此通知並非訂單確認通知，關於交易成立與否宥杏將另行告知。若因訂單內容之標的商品或服務，其交易條件(包括但不限於規格、內容說明、圖片)有誤時，宥杏仍得於下單後二工作日內拒絕該筆訂單。

  3. 會員若於使用本服務訂購產品後倘任意退換貨、取消訂單、或有任何宥杏認為不適當而造成宥杏作業上之困擾或損害之行為，宥杏將可視情況採取拒絕交易，或永久取消會員資格辦理。為保障會員平等購物權利，特定類別商品對於任意退換貨及取消訂單可能有相應之會員停權特殊規定，並將於各該特定類別商品之商品頁上標註說明，會員於進行交易行為前，應詳閱並遵守此等規定。若會員訂購之產品若屬於以下情形：（１）預購類商品（２）商品頁顯示無庫存（３）須向供應商調貨（４）轉由廠商出貨，因商品交易特性之故，倘商品缺絕、或廠商因故無法順利供貨導致訂單無法成立時，宥杏將以最適方式(以電子郵件為主，再輔以電話、郵遞或傳真等)告知。

  4. 會員使用本服務進行交易時，得依照消費者保護法之規定行使權利。因會員之交易行為而對本服務條款產生疑義時，應為有利於消費者之解釋。

十、責任之限制與排除

  1. 本公司電腦系統以提供服務進入市場時，符合當時科技或專業水準認為合理之安全性與技術提供服務，若本公司發生電腦系統或電磁紀錄受到破壞，或電腦系統運作異常時，本公司將採取合理之措施後儘速予以回覆。

  2. 前項若本服務無法正常運作，係源自不可歸責雙方當事人之事由所致，本公司將暫停或中止本服務之提供。

十一、智慧財產權的保護

  1. 宥杏所使用之軟體或程式、網站上所有內容，包括但不限於著作、圖片、檔案、資訊、資料、網站架構、網站畫面的安排、網頁設計，均由宥杏或其他權利人依法擁有其智慧財產權，包括但不限於商標權、專利權、著作權、營業秘密與專有技術等。任何人不得逕自使用、修改、重製、公開播送、改作、散布、發行、公開發表、進行還原工程、解編或反向組譯。若會員欲引用或轉載前述軟體、程式或網站內容，必須依法取得宥杏或其他權利人的事前書面同意。尊重智慧財產權是會員應盡的義務，如有違反，會員應對宥杏負損害賠償責任（包括但不限於訴訟費用及律師費用等）。

  2. 在尊重他人智慧財產權之原則下，會員同意在使用宥杏之服務時，不作侵害他人智慧財產權之行為。

  3. 若會員有涉及侵權之情事，宥杏可暫停全部或部份之服務，或逕自以取消會員帳號之方式處理。

  4. 若有發現智慧財產權遭侵害之情事，請將所遭侵權之情形及聯絡方式，並附具真實陳述及擁有合法智慧財產權之聲明，以下列方式聯絡宥杏： 以電子郵件(E-mail)寄送至：service_dept@yousingcmi.com.tw

十二、會員對宥杏之授權

對於會員上載、傳送、輸入或提供之資料，會員同意宥杏網站得於合理之範圍內蒐集、處理、保存、傳遞及使用該等資料，以提供使用者其他資訊或服務、或作成會員統計資料、或進行關於網路行為之調查或研究，或為任何之合法使用。 若會員無合法權利得授權他人使用、修改、重製、公開播送、改作、散布、發行、公開發表某資料，並將前述權利轉授權第三人，請勿擅自將該資料上載、傳送、輸入或提供至宥杏。任何資料一經會員上載、傳送、輸入或提供至宥杏時，視為會員已允許宥杏無條件使用、修改、重製、公開播送、改作、散布、發行、公開發表該等資料，並得將前述權利轉授權他人，會員對此絕無異議。會員並應保證宥杏使用、修改、重製、公開播送、改作、散布、發行、公開發表、轉授權該等資料，不致侵害任何第三人之智慧財產權，否則應對宥杏負損害賠償責任（包括但不限於訴訟費用及律師費用等）。

十三、特別授權事項

因使用本服務所提供之網路交易或活動，可能須透過宅配或貨運業者始能完成貨品(或贈品等)之配送或取回，因此，會員同意並授權宥杏得視該次網路交易或活動之需求及目的，將由會員所提供且為配送所必要之個人資料(如收件人姓名、配送地址、連絡電話等)，提供予宅配貨運業者及相關配合之廠商，以利完成該次貨品(或贈品等)之配送、取回。

十四、拒絕或終止會員的使用

會員同意宥杏有權於您違反本公司準則、任何附加條款及條件與政策時，依會員登錄之所有通訊資料或依締約之相同通訊方式通知，於通知到達後得暫停或終止該帳戶和／或使用本服務的權利。

十五、準據法與管轄法院

本服務條款之解釋與適用，以及與本服務條款有關或會員與宥杏間因交易行為而產生之爭議或糾紛，應依照中華民國法律予以處理，並以台灣台中地方法院為第一審管轄法院，但若法律對於管轄法院另有強制規定者，仍應依其規定

Digital Content Terms of Service

1. Yuxing provides services such as the history of dish prices (hereinafter referred to as "digital content services") in accordance with these terms. When members begin to use the digital content service, it means that they have read, understood and agreed to accept all the contents of these terms, and fully accept the existing and future derivative service items and content of the digital content service. Yuxing Company has the right to modify or change the content of the digital content service terms at any time. The modified service terms will be posted on the website. Yuxing will not notify members individually. Members are advised to pay attention to such modifications or changes at any time. When members continue to use this service after any modification or change, it is deemed that the member has read, understood and agreed to accept such modification or change. If you do not agree to the above-mentioned revision or update of the terms of service, or do not accept any other provisions of the digital content service terms, members should immediately stop using the digital content service.

2. This digital content service is provided in a way that it is bound to a specific member account. After a member obtains (including but not limited to purchase, gift, etc.) digital content services and imports them into a specific member account, he or she does not have ownership of the digital content but only has the right to use it within a specified scope. This right of use is limited to the member account and cannot be transferred or inherited. If the member account ceases to exist due to deletion or any other reason, the right to use will also be terminated. Members and anyone else may not request a refund or any compensation or compensation from Youxing or a third party related to Youxing.

3. Digital content services are not guaranteed to run on all mobile devices. Members must prepare appropriate devices and download and install the corresponding applications according to the device type to use digital content services smoothly. Digital content services are available on iOS devices, Android devices, browser platforms, and other existing or future system platforms. The functions provided may result in some differences in experience due to the different operating system platforms. Members must understand and accept this when installing.

4. Youxing has the right to adjust the number of devices that each member can be authorized to install and use digital content services.

5. Downloading files and reading online for digital content services may incur access fees or data transmission fees charged by third parties, which members must bear themselves.

6. Members should accept the updates of the digital content service software released from time to time. Members should check and pay attention to such update information at any time to ensure the normal operation of the digital content service. The digital content service will connect to the Yooxin server from time to time. Yooxin or the copyright owner may release error corrections or add additional functions for the purchased digital content service products. Members should immediately accept the version update to ensure the accuracy of the e-books, audio books, videos and course products.

7. After a member deletes his/her account, he/she will no longer be able to use the digital content service, as all data stored in the digital content service will be deleted and cannot be retrieved.

8. Some of the content in the digital content service may provide selection, copy and paste functions. Members must use these functions within the prescribed scope and only for personal non-commercial purposes.

IX. Authorization and Restrictions for Use of Digital Content:

1. After paying the relevant fees for using digital content services, members will have the non-exclusive rights authorized by Yooxing and relevant copyright owners to download, read, use and display digital content service products on their devices within the scope of the paid purchase. Digital content services only authorize members to read, use and display digital content service products for personal non-commercial purposes. Except for the express authorization in these terms, all other rights are reserved by Yooxing and its licensors.

2. Except for the functions provided by the Yoxing Digital Content Service, members may not use any software or tools to attempt to record or capture all or part of the content of the digital content service products, distribute them publicly, or access copies of the content separately without the authorization or consent of Yoxing.

3. If a member violates these terms and conditions, the member’s rights under this authorization will be terminated immediately, and Youxing may terminate all rights of the member to the digital content service products and member account without prior notice and without providing a refund.

10. Restrictions on third-party sales or sharing:

Members agree not to publicly perform, display, sell, rent, redistribute, broadcast, transmit, disseminate, modify, sublicense, transfer or assign all or part of the digital content service products and related rights to any third party without authorization.

11. Security features:

Members may not attempt to circumvent, disable or crack any security features or components (such as digital copyright management software or encryption) that protect any "Digital Content Service Products", or assist, authorize or encourage others to do so. If members violate any security features, they may incur civil or criminal liability.

12. Termination of Service:

Based on the company's operations, this digital content service may stop providing all or part of the service. Youxing may adjust the additional functions provided by the digital content service software at any time. Members and users shall not demand any compensation or compensation from Youxing or any third party related to Youxing.

13. Members acknowledge and understand that digital content services may be discontinued or otherwise unable to continue to provide services due to contractual arrangements or infringement disputes with copyright owners or digital content service product suppliers. Members agree that if the aforementioned circumstances occur and Yooxing is required to cooperate in handling them, Yooxing may decide on its own and take measures such as discontinuing sales, deleting files, and ceasing to provide services. Yooxing's maximum liability to members is limited to the consideration paid by the member for the digital content service product.

14. If the digital content service product files are damaged or lost due to personal device failure or other non-human or force majeure factors, members can reinstall the application to download the digital content service. Members should take protective measures when using digital content services. Youxing will not be responsible for any compensation for damages caused by members' use (or inability to use) digital content services.

15. Members acknowledge and agree that the Youxing digital content service is "digital content not provided in tangible media or online services that are completed once provided" and, in accordance with the "Criteria for the Application of Reasonable Exceptions to the Right to Terminate Communications Transactions", the right to terminate under Article 19, Paragraph 1 of the Consumer Protection Act is excluded from application.

Return and Exchange Policy

Products purchased using the Yoxing service have a short shelf life due to the nature of the product and are subject to Article 19, Paragraph 1 of the Consumer Protection Act. Therefore, no returns or exchanges are allowed except for reasons such as product defects or quantity errors.

Account Deletion Policy
